PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ACCESSING OR USING OUR SERVICES. BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT AGREE, PLEASE DISCONTINUE YOUR USE IMMEDIATELY.

1. Introduction

MIMOS Services Sdn Bhd ("MSSB", "we", "us", or "our") is a subsidiary of MIMOS Berhad (336183-H), a government-owned company incorporated in Malaysia. These Terms and Conditions ("Terms") govern your access to and use of the informational services, platforms, applications, and digital resources provided by MSSB (collectively, the "Services").

These Terms constitute a legally binding agreement between you and MSSB. We reserve the right to amend these Terms at any time. Any amendments will be effective upon posting of the updated Terms on our website. Your continued use of the Services following any such amendment constitutes your acceptance of the revised Terms.

2. Definitions

In these Terms, the following words and expressions shall have the meanings ascribed to them below:

• Content: means any information, data, text, graphics, software, images, logos, or other material made available through or in connection with the Services.
• Intellectual Property Rights: means all patents, trademarks, service marks, trade names, domain names, copyrights, design rights, database rights, know-how, confidential information, and all other intellectual property rights, whether registered or unregistered.
• Services: means all digital services, platforms, websites, and informational resources made available by MSSB.
• User, You, or Your: refers to any individual or corporate entity accessing or using the Services.
• MIMOS Group: refers collectively to MIMOS Berhad and its subsidiaries and affiliated entities, including MSSB.

3. Access and Use of Services

3.1 Grant of Access

Subject to your compliance with these Terms, MSSB grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services strictly for your informational, internal business, or personal purposes. This licence expressly excludes any right to:

• Resell, sublicence, or commercially exploit the Services or any Content.
• Reproduce, duplicate, copy, distribute, or publicly display any Content except as expressly permitted.
• Use automated tools such as data mining, web scraping, robots, or similar data extraction methods.
• Frame or utilise framing techniques to enclose any part of the Services or Content.

3.2 Your Responsibilities

When using the Services, you agree to:

• Use the Services only for lawful purposes and in compliance with all applicable Malaysian laws and regulations.
• Provide accurate and complete information when submitting inquiries or communications to us.
• Not use the Services to transmit or distribute any material that is offensive, defamatory, or unlawful.
• Not engage in any conduct that would constitute a criminal offence, give rise to civil liability, or damage our infrastructure.

4. Content and Submissions

4.1 Our Content

The Content available through the Services is provided for general informational purposes in a business-to-business (B2B) context. While we endeavour to ensure accuracy, we do not warrant that any Content is free from error, current, or complete. You must independently verify any Content before relying on it for commercial decisions.

4.2 Third-Party Content

The Services may include Content sourced from third parties. Such Content is not under the control of MSSB, and we are not responsible for its accuracy or legality. Any reliance you place on third-party Content is at your own risk.

4.3 Inquiries and Feedback

When you submit questions, comments, or business inquiries ("Submissions") through our forms, your personal data will be handled in accordance with our Privacy Policy. However, the business information or feedback contained in such Submissions is not considered confidential intellectual property of the User. MSSB is free to use any ideas, concepts, or know-how contained in your Submissions for any purpose, including developing and marketing our own services, without compensation or attribution to you.

5. Intellectual Property Rights

5.1 Ownership

All Intellectual Property Rights in the Services and Content, including but not limited to text, graphics, images, logos, and software, are owned by or licensed to MSSB or the MIMOS Group. These rights are protected under Malaysian law and international intellectual property conventions.

5.2 Permitted Use

You may access and use the Services and Content for your own reference. You may save an electronic copy or print out a copy of portions of the Content solely for such purposes. You must not modify, adapt, reproduce, broadcast, or distribute the Content for any commercial purpose, nor remove any copyright or proprietary notices.

5.3 Trademarks

The names "MIMOS", "MIMOS Services", and all associated logos are trademarks of the MIMOS Group. Nothing in these Terms grants you any right or licence to use such trademarks.

6. Prohibited Activities

6.1 Prohibited Conduct

You must not use the Services to:

• Gain or attempt to gain unauthorised access to our systems, networks, or underlying architecture.
• Interfere with, disrupt, or degrade the availability of the Services to any user.
• Launch denial-of-service attacks, or introduce viruses, ransomware, or malicious code.
• Engage in phishing, spoofing, or any form of deception.
• Infringe the Intellectual Property Rights of MSSB or any third party.

6.2 Enforcement

MSSB reserves the right to monitor the Services and block access to any User violating these Terms. We will cooperate fully with law enforcement authorities and regulatory bodies in investigating suspected illegal activities.

7. Third-Party Links

The Services may contain hyperlinks to external platforms. These links are provided for convenience and do not constitute an endorsement by MSSB. We have no control over, and accept no responsibility for, the content or practices of third-party sites.

8. Disclaimers

The Services and all Content are provided on an "as is" and "as available" basis. To the fullest extent permitted by Malaysian law, MSSB makes no representation or warranty, express or implied, in relation to:

• The availability, continuity, security, or reliability of the Services.
• The fitness of the Services or Content for any particular commercial purpose.
• The absence of errors, defects, or harmful components.

MSSB does not guarantee uninterrupted access to the Services. We shall not be liable for any loss arising from downtime, maintenance, or technical interruptions.

9. Limitation of Liability

Because the Services are provided free of charge for informational purposes, your use of the Services is entirely at your own risk.

To the fullest extent permitted by applicable law, MSSB, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, arising out of your use of or inability to use the Services.

In the event that applicable law precludes the total exclusion of liability for a specific claim, MSSB's total aggregate liability to you for any direct loss or damage arising out of these Terms or the Services shall be strictly limited to the nominal sum of Ringgit Malaysia One Hundred (RM 100.00).

10. Force Majeure

MSSB shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, acts of government, civil unrest, telecommunications failures, or cyberattacks.

11. Indemnification

You agree to indemnify and hold harmless MSSB, its parent company, directors, and employees from any claims, liabilities, damages, or expenses (including legal fees) arising from your misuse of the Services, your violation of these Terms, or your infringement of any third-party rights.

12. Suspension and Termination

MSSB may, at its sole discretion and without prior notice, suspend or terminate your access to the Services if you breach these Terms, if required by law, or if your conduct poses a risk to our infrastructure. Provisions of these Terms which by their nature should survive termination (including Sections 5, 8, 9, and 11) shall continue to apply.

13. Modifications to the Services

MSSB reserves the right to modify, suspend, or discontinue the Services at any time without notice. We shall not be liable to you for any such changes.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be severed, and the remaining provisions shall continue in full force and effect.

15. Waiver

No failure or delay by MSSB in exercising any right under these Terms shall constitute a waiver of that right.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MSSB with respect to your use of the informational Services.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Malaysia. Any dispute arising out of or in connection with these Terms or the use of the Services shall be subject to the exclusive jurisdiction of the courts of Malaysia.
